- Website Development & Maintenance
- UI/UX Design
- Branding & Creative Design
- SEO, SEM, SMM & Digital Marketing
- B2B Lead Generation
- IT Support & Helpdesk Solutions
- Cloud Infrastructure Support
- Data Backup & Recovery
- Technical Consulting
Each service may be governed by an additional Service Agreement, Project Proposal, or Statement of Work (SOW).
3. Client Responsibilities
The Client agrees to:
- Provide accurate, complete information required for service delivery.
- Supply necessary assets (content, credentials, images, documents) on time.
- Ensure that all provided material is legally owned or properly licensed.
- Comply with usage guidelines for completed projects and deliverables.
- Maintain confidentiality of any login credentials shared with Webotriv.
Failure to provide required information may delay timelines.
4. Payments & Billing
- All project quotations will be shared in writing.
- Payments must be made according to the agreed schedule (e.g., 50% advance, 50% on completion).
- Late payments may result in project delays or service suspension.
- Refunds are not provided for work already completed or hours already spent.
- Tax, international charges, or payment gateway fees (if applicable) are the Client’s responsibility.
5. Intellectual Property Rights
A. Client Content
You retain full ownership of all content, designs, trademarks, data, and materials you provide.
B. Webotriv Work
Webotriv retains ownership of:
- Proprietary tools, frameworks, software libraries
- Internal processes and coding structures
- Creative concepts not selected by the client
C. Final Deliverables
Upon full payment:
- The Client receives full rights to the final completed work.
- Webotriv may still showcase the project in its portfolio unless the Client requests confidentiality in writing.
6. Confidentiality
Both parties agree to keep all non-public information confidential, including:
- Project documents
- System credentials
- Business information
- Strategies and proprietary data
This obligation continues even after the Agreement ends.
7. Third-Party Tools & Integrations
Some services may depend on:
- Hosting platforms
- APIs
- SAAS tools
- Advertising networks (Google, Meta, etc.)
- Payment gateways
- Cloud providers (AWS, Azure, GCP)
Webotriv is not responsible for:
- Third-party outages
- Billing issues
- Security breaches caused by external platforms
- Policy changes by third-party providers
8. Service Timelines
Timelines shared are estimates and may vary due to:
- Delayed client approvals
- Scope changes
- Technical constraints
- Third-party dependencies
Webotriv is not liable for delays outside its control.
9. Revisions & Change Requests
- Most projects include a defined number of revisions.
- Additional revisions or scope changes will incur extra charges.
- Any change requested after project sign-off is treated as new work.
10. Termination of Services
Either party may terminate the agreement if:
- Client does not comply with payment terms
- Either party breaches contract conditions
- Project is inactive for more than 30 days
Upon termination:
- All completed work must be paid for.
- Webotriv may withhold deliverables until outstanding dues are cleared.
11. Limitation of Liability
To the maximum extent permitted by law, Webotriv is not liable for:
- Loss of revenue, profit, or data
- Service interruptions
- Cyber attacks or hacking on third-party platforms
- Errors caused by inaccurate client information
- Business losses due to marketing performance
- Delays due to client-side issues
Webotriv’s liability is limited to the total amount paid by the Client for the specific project.
12. Warranties & Disclaimers
Webotriv provides services “as-is” without any guaranteed outcomes, including:
- Guaranteed ranking on search engines
- Guaranteed number of leads or conversions
- Guaranteed app or system uptime
- Guaranteed advertising performance
We strive for excellence but cannot promise results affected by external variables.
13. Use of Website
You agree not to:
- Misuse the website
- Attempt unauthorized access
- Upload harmful software
- Copy or distribute website content without permission
Violations may lead to restricted access or legal action.
14. Governing Law
These Terms are governed by:
- Indian Contract Law (default jurisdiction)
- For international clients: local laws may apply in addition to India’s laws
Any legal disputes will be resolved in Odisha, India, unless mutually agreed otherwise.
